This role focuses on ensuring accurate and compliant governance practices supporting corporate law and providing expert legal advice on corporate governance issues. The successful candidate will work closely with the General Counsel and other stakeholders to ensure thatthe bank operates within the legal framework and maintains high standards of corporate governance.
Tasks
Planning Execution Documentation and Followup on Meetings:
- Organize and manage meetings of the Executive Board Supervisory Board and Shareholders Meetings.
- Ensure the accuracy and compliance of meeting documentation with the Banks procedures and applicable laws and regulations.
- Prepare agendas minutes and other relevant documentation for these meetings.
- Follow up on decisions and actions from meetings to ensure proper implementation.
Corporate Law:
- Ensure that all required corporate law procedures and documentation are established maintained and up to date.
- Manage the corporate records and ensure compliance with legal and regulatory requirements.
Corporate Governance Interface:
- Act as the primary interface on corporate governance issues including coordination with branches.
- Provide guidance on best practices in corporate governance and ensure alignment with internal and external standards.
Legal Advisory:
- Provide legal advice with a particular focus on corporate governance issues.
- Support the General Counsel in various legal matters including drafting and reviewing legal documents.
- Conduct legal research and provide training on corporate governance issues to internal stakeholders.
Requirements
- Qualified lawyer with a law degree from a reputable university or equivalent qualification.
- Several years of postqualification experience preferably in a corporate bank or financial institution.
- Strong knowledge of corporate banking law corporate governance and European financial regulations.
- Proven experience in planning documenting and following up on board and shareholders meetings.
- Excellent organizational analytical communication and interpersonal skills.
- Ability to work independently and manage multiple tasks effectively.
- Proficiency in German and English
